License Agreement

1. License Grant

Subject to the terms and conditions of this Agreement, Paysecureservices grants you a limited, non-exclusive, non-transferable, revocable license to:

• Use the Software solely for integrating with Paysecureservices payment processing services
• Modify the Software as necessary for your integration purposes
• Distribute the Software as part of your application, provided it connects to Paysecureservices
• Access and use our APIs in accordance with the API documentation

2. Restrictions

You may not:

• Use the Software for any purpose other than integrating with Paysecureservices
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels on the Software
• Use the Software to create competing payment processing services
• Sublicense, rent, lease, or lend the Software to third parties
• Use the Software in violation of applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Use the Software to transmit malware or harmful code

3. Ownership and Intellectual Property

Paysecureservices retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights in the Software.

Third-Party Components

The Software may include third-party components subject to separate license terms. You agree to comply with all applicable third-party license terms.

4. API Usage Terms

Rate Limits

Your use of our APIs is subject to rate limits and usage quotas as specified in your service agreement or API documentation.

API Keys and Security

• You are responsible for maintaining the security of your API keys
• API keys must not be embedded in client-side code or publicly accessible locations
• You must immediately notify us of any suspected compromise of your API keys
• We may revoke or regenerate API keys at any time for security purposes

5. Support and Updates

Software Updates

We may provide updates, patches, or new versions of the Software. You agree to install updates that are necessary for security or compatibility purposes.

Support Services

Technical support is provided according to your service level agreement. Support may include:

• Documentation and integration guides
• Email and phone support during business hours
• Bug fixes and security patches
• API status updates and notifications

6. Data and Privacy

Your use of the Software must comply with our Privacy Policy and applicable data protection laws. You are responsible for:

• Obtaining necessary consents for data processing
• Implementing appropriate security measures
• Complying with PCI DSS requirements for payment data
• Notifying us of any data breaches or security incidents

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYSECURESERVICES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PAYSECURESERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRECEDING 12 MONTHS
• WE ARE NOT LIABLE FOR DAMAGES CAUSED BY YOUR MISUSE OF THE SOFTWARE
• YOU AGREE TO INDEMNIFY US AGAINST CLAIMS ARISING FROM YOUR USE OF THE SOFTWARE

9. Compliance and Export Controls

You agree to comply with all applicable laws and regulations, including:

• Export control laws and regulations
• Anti-money laundering (AML) requirements
• Know Your Customer (KYC) regulations
• Payment Card Industry (PCI) standards
• Data protection and privacy laws

10. Termination

Termination by You

You may terminate this Agreement at any time by discontinuing use of the Software and destroying all copies.

Termination by Us

We may terminate this Agreement immediately if:

• You breach any term of this Agreement
• Your use of the Software poses a security risk
• You violate our Terms of Service
• Required by law or regulation

Effect of Termination

Upon termination, you must cease all use of the Software and destroy all copies in your possession.

11. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of material changes through email or our developer portal. Continued use of the Software constitutes acceptance of the modified Agreement.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in New York, NY.

13. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Paysecureservices regarding the Software.

14. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
